1. Agreement and definitions

These Terms of Use (“Terms”) constitute a binding agreement between you (“User”) and EEEY SpA (“Provider,” “we,” or “us”) governing your download, installation, and use of our native mobile application (the “App”) on any supported mobile operating system, as well as any related services, APIs, integrations, and content. Capitalized terms not defined herein have the meanings set forth in this Section.

1.1 Terms and definitions

Effective Date: The initiation date of this Agreement. User Content: Refers to photos, videos, or music created or uploaded within the application by the User. Mobile Application: The software designed for your mobile device. Device: Your mobile phone, tablet, or other applicable gadgets. Trial Period: The duration during which free access to services is provided. Services: Various features offered by the application. Subscription: Grants full access to services with an automatic renewal option. Subscription Term: The duration of the subscription. Subscription Fees: Fees associated with the subscription. Free Term: A period of free access with limited features. Free Services: Services provided at no cost. Tariffs: Different rates for subscriptions based on the services offered.

2. Services

The App may provide features such as user registration, profile management, in-app purchases, push notifications, location services, camera access, and integrations with third-party platforms (e.g., social login, analytics). Provider reserves the right to update, modify, limit or discontinue any part of the App or related services at any time, subject to the respective app store policies. Free Services are available during the Free Term, and the Provider may impose technical restrictions and alter functionality.

3. Authorization

Subject to these Terms and your compliance with all applicable app-store requirements, Provider grants you a limited, non-exclusive, non-transferable, revocable license to download, install, and use the App on any mobile device that you own or control, solely for your personal or internal business purposes. You may not redistribute the App or bypass any built-in purchase mechanisms. Users are responsible for account security.

4. Content

Users retain rights to User Content and grant the Provider a license to use, store, and process such content. Users are responsible for the legality of User Content, and the Provider is not liable for the loss of such content.

5. User Restrictions

Users must use the application within legal and contractual limits, refraining from copying, revealing, or creating unauthorized software. The application must not be used for illegal or harmful content.

6. Provider’s and User’s obligations

The Provider ensures services are performed with reasonable skill. Users pay Subscription Fees and ensure account security. Users must also comply with applicable laws and regulations.

7. Term and termination

The terms commence on the Effective Date. Termination may occur at the discretion of either User or Provider for various reasons, and upon termination, access to services ceases.

8. Fees, Payment terms

Certain services require payment. Subscription Fees are paid according to selected Tariffs, and purchased content and in-app purchases are subject to Provider's management.

9. Liability

The application is provided "as is," with the Provider disclaiming warranties. The Provider is not responsible for User Content or application availability. Users indemnify the Provider for any claims and damages, and the Provider's liability is limited.

10. Governing law and jurisdiction

These Terms and any dispute arising out of or relating to them shall be governed by the laws of the Republic of Chile. The parties agree to attempt good-faith negotiation for thirty (45) days following written notice of any dispute. If the dispute remains unresolved, it will be submitted exclusively to the courts of Santiago, Chile.

11. Final provision

The relationship is that of independent contractors. Information processing is per the Privacy Policy. The Provider reserves the right to interrupt services for maintenance. These terms constitute the entire agreement, and the Provider's details are provided at the end of the agreement.
